Digital Lantern License Agreement

This Digital Lantern License Agreement (“Agreement”) is entered into as of the Effective Date (defined below) by and between:

Licensee (hereinafter “Station Master”): The individual or entity purchasing and accepting the terms of this Agreement electronically.

1. DEFINITIONS

  • “The Lantern” refers to the proprietary graphic mark, emblem, symbol provided by React Unite Now for commercial use under this Agreement.

  • “Digital Marketing” includes the use of the Logo on websites, social media, email marketing campaigns, and paid digital advertisements.

  • “Station Master” refers to the individual or business entity entering into this agreement as the Licensee.

  • “Pledge” refers to the values and guiding principles published by React Unite Now, as may be updated from time to time.

2. GRANT OF LICENSE

Subject to the terms of this Agreement and payment of the applicable licensing fee, React Unite Now grants the Station Master a limited, non-exclusive, non-transferable, revocable license to use The Lantern for a period of twelve (12) months from the Effective Date (the “Term”).

This annual license grants the Station Master non-exclusive rights to use the Logo for digital marketing purposes only, including websites, email marketing, and online advertising. Use in print media, merchandise, or broadcast requires a separate license.

As a condition of this license, the Station Master agrees to support and generally follow the values and tenets of the Pledge, which represents the ethical, cooperative, and inclusive principles upheld by React Unite Now.

3. RESTRICTIONS ON USE

The Station Master agrees to the following conditions:

  • The Lantern shall not be modified, distorted, recoloured, animated, or altered in any way without prior written consent from React Unite Now.

  • The Lantern shall not be used in any defamatory, deceptive, illegal, or unethical context, or in a way that would damage the reputation of React Unite Now.

  • The Lantern may not be sublicensed, assigned, or transferred to any third party.

  • The Station Master shall not claim ownership or any proprietary right in The Lantern.

  • The Station Master shall use The Lantern in a manner that aligns with the spirit and values of the Pledge.

4. TERM AND RENEWAL

  • The Term of this license is 12 months from the date of purchase (the “Effective Date”).

  • The Station Master may renew this license for additional 12-month periods by paying the renewal fee in effect at the time of renewal.

  • Failure to renew the license before its expiration date will result in automatic termination of usage rights.

5. FEES

The Station Master shall pay a non-refundable licensing fee of CAD $[Insert Fee] upon acceptance of this Agreement. No further royalties are due unless the Station Master renews or upgrades the license.

6. INTELLECTUAL PROPERTY RIGHTS

The Lantern and all associated intellectual property rights remain the sole and exclusive property of React Unite Now. This Agreement does not transfer any ownership rights to the Station Master.

7. TERMINATION

React Unite Now may terminate this Agreement:

  • With cause if, in the sole discretion of React Unite Now the Station Master breaches any provision of this Agreement.  It is also a provision of this Agreement that the Station Master upholds the spirit and values of the Pledge.

  • Without cause with 30 days’ written notice, in which case the Station Master will be eligible for a prorated refund, unless otherwise disqualified.

  • Immediately and without refund if, in the sole discretion of React Unite Now, the Station Master fails to uphold or act in accordance with the spirit and values of the Pledge.

Upon termination:

  • The Station Master must immediately cease all use of The Lantern.

  • The Lantern must be removed from all websites, email campaigns, advertisements, and digital content within seven (7) calendar days of termination notice.

  • Continued use after termination constitutes unauthorized use and may result in legal action.

8. DISCLAIMER & LIMITATION OF LIABILITY

The Lantern is provided “as is” without warranty of any kind, express or implied. In no event shall React Unite Now be liable for any indirect, incidental, consequential, or punitive damages arising from the Station Master’s use of The Lantern.

9. INDEMNIFICATION

The Station Master agrees to indemnify, defend, and hold harmless React Unite Now, its proprietors, partners, directors, officers, and affiliates from any claims, liabilities, losses, or legal actions arising from the Station Master’s misuse of The Lantern or breach of this Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of British Columbia.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between React Unite Now and the Station Master and supersedes any prior agreements, representations, or understandings, whether oral or written.

12. MODIFICATION

React Unite Now reserves the right to modify the terms of this Agreement upon 30 days’ written notice. Continued use of The Lantern after such notice constitutes acceptance of the modified terms.

13. SIGNATURE & ACCEPTANCE

By clicking “I Agree” or completing the purchase process, the Station Master affirms that they have read, understood, and agree to be bound by this Agreement and the principles outlined in the Pledge.

Effective Date: The date on which the Station Master completes the license purchase.
